Charter
1. Operation of this Charter - what you need to know about the Group
- (a) This is the Charter (Charter) of Telstra Active Supporters (Group). It sets out the purpose of the Group, what the Group hopes to achieve and how it is going to go about achieving its objectives.
- (b) We welcome your interest in joining Telstra Active Supporters and by choosing to do so, you agree to abide by the rules as set out in this Charter.
2. Purpose of the Group
- (a) The purpose of the Group is to bring together people who wish to assist Telstra Corporation Limited (Telstra):
- in its continued campaign to bring high-speed broadband to Australians (i.e., the Broadband Australia Campaign);
- through a range of other campaigns (Campaigns) related to telecommunications issues and matters of social, environmental, economic and commercial importance to Telstra and group members; and each with their own stated objectives and related activities.
- (b) The Group is intended for people who wish to join with Telstra and others to lend their support on issues of mutual interest and who wish to have their own forum, to share their views, and plan and undertake activities in support of the Broadband Australia Campaign and other Campaigns that may be supported by Telstra and adopted by the Group.
- (c) The objectives of the Group are to:
- raise public awareness of the issues surrounding each Campaign;
- take action to stimulate public discussion and debate of the surrounding each Campaign;
- petition the decision makers or target audiences of each Campaign, be they members of the general public, shareholders, Members of Parliament, local Government officials and influential third parties to become better informed and take action to facilitate the achievement of the Campaign’s objectives; and
- encourage others to join the Group and participate in Campaigns.
- (d) Campaigns will focus on telecommunications issues that affect the way Australians live, work and play, based on issues and matters of social, environmental, economic and commercial importance to Telstra and Group members. Campaigns may:
- Be proposed by Telstra or Group members;
- Change from time to time, as each campaign runs its course and is retired and as new campaigns are instigated.

3. What the Group will be doing
- (a) The activities of the Group will include any lawful activity designed to achieve the objectives of the Group. At the outset, these activities may include:
- communicating personal views, key messages and ideas encouraging support for the Campaigns to Members of Parliament, regulatory bodies, influential third parties and the Australian public;
- preparing and communicating responses to statements, papers, articles, letters and other communications (verbal or written, or online) relating to the Campaigns made by Members of Parliament, the media, regulators, members of the general public or other parties;
- holding meetings with group members, and other influential parties;
- participating in group actions or events that show support for the Campaigns and generate public comment, or media attention;
- encouraging others to join the Group; and
- through various forms of media, including (without limitation) radio, television, written communication, meetings, verbal communication, e-mails, participation in online discussion forums, blogs and on the internet and personal opportunities for face to face presentation and discussion.
- (b) It is important that the Group must not and you must ensure that you do not:
- engage in any activities, or print, publish or distribute any information or materials, send any emails or other electronic messages, including any which may be regarded as spam, or make any statements or comments which breach any laws or regulations, infringe a third party’s rights or privacy, or are contrary to relevant standards or codes;
- defame, harass, threaten, menace, or offend any person or use the Group in a way which may defame, harass, threaten, menace or offend any person;
- use the Group or your membership of the Group to send unsolicited commercial or bulk electronic mail messages to anyone;
- engage in any fraudulent or misleading activities or make statements or engage in conduct which misleads or deceives;
- engage in any activities, or print, publish or distribute any information or materials or make any statements or comments which could give rise to civil or criminal proceedings;
- represent yourself as an employee or contractor of Telstra or the Group (unless you have specifically been engaged by the Group in that capacity); or
- attempt any of the above acts or permit another person to do any of the above acts.
- (c) It is also important that you do not use the name or resources of the Group to mislead people by purporting to be pursuing Group objectives that are just your personal aims or those of others when they have not been developed as Group objectives.

4. Membership
- (a) By becoming a member of the Group, you will be able to support and take part in the activities of the Group. You will:
- receive regular updates and information from Telstra relating to the Group and the Campaigns, including Telstra’s position on, and current events related to the Campaigns and the Group’s achievements;
- be invited to become involved in any or all of the Campaigns and their activities as you wish, entirely at your discretion;
- be invited to participate in forums, discussions and other Campaign activities; and
- undertake activities to further the purpose and objectives of the Group.
- (b) Telstra employees are eligible to join the Group, but any involvement with the Group must be on a voluntary basis and, if it occurs during an employee’s ordinary working hours, is subject to prior approval from the employee’s supervising manager taking into account operational requirements and customer needs.

5. Telstra’s role
- (a) Telstra will play a critical part in the development and progress of the Group (including the recruitment of members of the Group).
- (b) Telstra may also:
- assist in developing the strategy of the Group;
- in addition to providing the information under paragraph 5(b)(1) above, provide the Group with information related to the Campaigns;
- assist the Group in identifying ways in which the objectives of the Group may be promoted;
- assist with mailouts and communications to and amongst members;
- assist the Group in making contact with appropriate groups, media outlets or other bodies which may assist the Group to conduct its activities; and
- assist with funding Group activities related to the Campaigns and administrative costs.

6. Liability and indemnification
- (a) Telstra may not necessarily agree with the views expressed by members of the Group or other materials printed, published or distributed or statements or comments made by members of the Group from time to time and is not responsible for the content of any such material, statement or comment.
- (b) Unless specifically authorised by Telstra, Telstra makes no claims that the content of materials printed, published or distributed, or a statement or comment made by members of the Group is accurate, not misleading or deceptive, complete or reliable.
- (c) To the maximum extent permitted by law, in no event will Telstra or any of its related bodies corporate be liable for any loss, damage, claim, expense, cost (including legal costs) or liability whatsoever (including direct, indirect, consequential or incidental damages or damages for loss of profits or revenue) arising directly or indirectly from the activities of the Group or a member of the Group.
- (d) Telstra will not provide an indemnity to the Group or any member of the Group in relation to the activities of the Group, unless it determines otherwise in its sole discretion.

7. Use of personal information

- (b) Member’s contact details may be shared with those wishing to establish local chapters for the purposes of communicating directly with those residing in their local areas, about:
- invitations to participate in Campaign events
- details of local meetings
- Group achievements
- local information and issues related to Campaigns

8. Authorisation of published information
- (a) This paragraph 8 applies to any material printed, published or distributed by the Group, irrespective of whether that material takes the form of a physical or internet-based advertisement, handbill, pamphlet, poster or notice.
- (b) Any material published by the Group must:
- Be authorised by a member who has been specifically appointed by Telstra as an agent for that purpose (an Authorised Agent); and
- contain the name and address of that Authorised Agent, together with the name and address of any person or entity (if any) responsible for printing the published material.
- (c) This paragraph 8 does not apply to material published by members of the Group who do not, and have not been authorised to, publish material on behalf of the Group.
- (d) The Group will not be taken to have published material containing an electoral matter (that is, a matter likely to affect voting at an election) merely because a member of the Group purports to publish material on behalf of the Group, if:
- that member has not received authorisation from an Authorised Agent; and/or
- the published material does not contain the name and address of an Authorised Agent and printer (if any).
- (e) If you engage in any of the activities set out in paragraph (d) without the appropriate authorisation, you will be taken to have personally breached the Commonwealth Electoral Act 1918.

9. Opt-out
- (a) There is no obligation on any member of the Group to participate in any of the activities of the group.
- (b) You have the right to opt out being a member of the Group at any time. You can do this by changing your details online or letting us know by email to: telstraactivesupporters@team.telstra.com.
- (c) Telstra has the right to refuse or revoke the membership of any individual of the Group at any time.

10. Management of the Group for discussion
- (a) A committee to manage or assist with management of the Group may be appointed by Telstra, if it decides that it is appropriate to do so. The method of election or selection of that Committee may be determined by Telstra with the assistance of such Group members as Telstra chooses.
- (b) Until a Committee is appointed, for a period or indefinitely, the Group shall be managed by officers of Telstra appointed for the purpose on the terms it decides.
- (c) The officers selected from time to time by Telstra will have such duties in relation to matters such as Authorisation of group communications, resources, budgets and other requirements to enable the Group to function as Telstra decides.

11. Alterations of the Charter and the roles of the Group
- (a) Telstra, in consultation with the officers appointed as above and such Group members as Telstra decides may amend this Charter, its role and concerns as it considers desirable.
- (b) Individual members of the Group who do not support the amendments made pursuant to this clause 11 may notify Telstra that they do not support the amendments and members who choose to do so may also opt out under clause 9.
